Closeout deal checklist

Most problems in closeout transactions are visible before signature, in questions nobody asked. This is the list, grouped by where the answers live.

The goods

Is the inventory file at size level, and is it dated? What is the plus and extended size share, and does it match the negotiated understanding? What condition are the goods in, and who verified it? Are they prepacked or loose, as in prepacks versus loose cartons? Is the ticketing intact, and does it need to be?

The contract

When does the notice clock start and what does it require? Is there a remedy for a confirmed discrepancy, or only an obligation to report one? Are refunds and returns excluded? What resale restrictions apply, by territory, channel and account? Is there a liability cap, and what escapes it? The drafting for the first three is in the notice clause guide.

The money and the operation

What is the payment schedule, and does the last payment fall after the notice window closes, as in payment terms? What is the landed cost per unit including freight and handling? Do you have the intake capacity to characterize the lot inside the window? And, the question most often skipped: where is the slow part of the assortment going, and at what price?

Questions

What is the single most important item on the list?

A dated, size-level inventory file attached to the purchase order. Almost every later dispute turns on what the goods were described as.

What should be checked last?

Intake capacity against the notice window, because it is the item that converts a contractual term into an operational impossibility.

Do resale restrictions really change the price?

Yes. Each closed channel removes a home for part of the assortment, usually the slowest-moving part.

A practical checklist, not legal advice.
