What SVES does

SVES buys closeout, overstock and excess apparel in volume and resells it into off price retail channels. That business depends on assortment: the size and style mix of a lot determines what it can be sold for and how quickly it moves.

SVES says its relationship with Gap began during the COVID-19 shutdown in 2020, when it took on merchandise stranded in Gap stores and at Gap suppliers, committing roughly 3 million square feet of warehouse space and paying approximately $80 million to Gap stores and suppliers. Gap disputes SVES’s characterization of the relationship and of the transaction that followed.

Its role in the dispute

In late 2022 SVES GO placed purchase orders for approximately 11.2 million units of Old Navy merchandise, written from Gap Available to Sell lists. The parties disagree about the size composition of what was delivered. See the 11.2 million unit shipment explained for the detail, and the docket tracker for procedural status.

No court or tribunal has found that Gap committed fraud in this dispute, and the Phase I decision went in Gap’s favor on the narrower question of setting aside a later amendment.
